The conflict between the two shareholders of Vlora Airport has further intensified, as Behgjet Pacolli has publicly denounced that they are taking over duty free and other airport services. Through an urgent announcement to the media, Pacolli's company Mabco says that these services are being alienated through contracts being concluded by the administrator appointed by Valon Ademi.
"MABCO Construction SA denounces unauthorized actions at Vlora Airport and warns of absolute nullity and serious legal consequences for any contract concluded. MABCO Construction SA, a Swiss law company and the majority partner with 98 percent of the capital in the concession company Vlora International Airport, VIA shpk, publicly and unequivocally warns that any contract, lease agreement or commercial act that is being concluded or will be attempted to be concluded for shops, bars, duty free or other services at Vlora Airport, by Mr. Vegim Hoxha or through him, is legally non-existent, absolutely null and void and destined to be annulled," the official announcement distributed by Pacolli's company states.
According to her, these actions are being carried out in flagrant violation of the law, the company's statute and the court's rulings in force by the administrator Vegim Hoxha, creating a serious situation of legal uncertainty and economic risk for any third party that, with or without knowledge, is involved in these relationships.
"MABCO clarifies that Vegim Hoxha is not and has never been a legal administrator with full powers of VIA shpk. His appointment is based on an alleged decision of the general assembly dated December 11, 2025, taken unilaterally by the company 2A Group shpk, which owns only 2 percent of the capital shares. This decision was taken without the participation of the majority partner and in the complete absence of the legal quorum, in direct violation of the law on commercial companies, which makes it invalid ab initio, without producing any legal effect," Behgjet Pacolli's company declares.
It warns that any contract currently concluded for commercial premises at Vlora Airport and through a person unauthorized by the majority shareholder who owns 98 percent of the shares, directly exposes third parties to financial losses, lawsuits and the immediate cancellation of any claimed rights, without any possibility of transferring responsibility.
"MABCO Construction SA calls on every commercial entity, company, duty free operator, restaurant bar chain or potential investor not to be deceived by the attempt to create a false legal reality. Any such engagement will result in a legal and economic fiasco, for which responsibility cannot and will not be transferred to the concessionaire or the majority partner," Mabco warns.
In addition to warning entities not to sign contracts, Behgjet Pacolli has requested immediate state intervention.
"MABCO Construction SA publicly calls on the official Albanian authorities, including the competent supervisory and administrative institutions, to show increased attention to these unauthorized actions, which endanger not only the legal security of third parties, but also the integrity of a strategic project of national importance such as the Vlora International Airport," the company says in the official announcement.
Mabco has announced that it will pursue without compromise every legal, civil and administrative avenue, against any act taken in violation of this legal situation, including requests for invalidity, compensation and personal liability for damages caused to the strategic project of Vlora International Airport.
