Vlora Airport has ended up in a tragicomic situation. Currently, the concession company Vlora International Airport operates without an administrator and without one of the technical directors, while the construction works for the airport continue, with each of the shareholders working separately from the other.

At the beginning of last month, Mentor Hajdaraj and Naser Gjuka, respectively the administrator and one of the technical directors of the company, both resigned. Both were appointed by Pacolli himself, with administrator Hajdaraj having been appointed only a month earlier, after the departure of Valon Lluka.

Following these resignations, Mabco SA, the partner that owns 98 percent of the shares of the concessionaire company Vlora International Airport, urgently called a meeting of the General Assembly of VIA.

According to the documents, the meeting had a 7-point agenda, the most important of which were the replacement of two resigned directors, the approval of a new statute for the company, the appointment of statutory auditors, and the conduct of a special investigation into the company's technical and financial activities.

The meeting called by Emin Pacolli was announced on October 11 and was scheduled to be held on October 20. But on October 17, just three days before the meeting, the First Instance Court of General Jurisdiction of Tirana imposed a security measure by suspending the taking of any decision at the meeting of the General Assembly of Partners of the company "Vlora International Airport - VIA" SH.PK, announced to be held on October 20, 2025.

Consequently, the ensemble meeting was blocked and Pacolli was unable to appoint the company's new administrator, Abdurraman Gashi, nor replace technical director Naser Gjuka with Sazan Gurishova.

Changing the company's status and appointing statutory auditors are two very important decisions in a company when its partners have disagreements. If we add to this the fact that Mabco had put the special financial investigation item on the agenda, this fulfilled all the ingredients for a potential change in the shares of the concessionaire company.

In short, the acquisition of the minority partner's shares at a price set by the auditors. This is the danger that Valon Ademi apparently sensed, who rushed to seek an injunction in court to block the assembly meeting and any unilateral decision-making by Pacoll.

The conflict between Behgjet Pacolli and Valon Ademi has already ended in the prosecution, where Ademi has reported Pacolli for fraud, while Pacolli has reported former administrator Lluka and a notary in Tirana.

So far, what is known is that Valon Ademi claims to have invested 23 million euros of his own money in the construction of the Airport, but currently owns only 2 percent of the shares. While Pacolli claims a conspiracy against him, involving people he appointed himself or who have been his employees for years.
